| Public issue of 6,750,000 equity shares of face value Rs10 each of Flexituff International Limited ("FIL" or The "Company" or The "Issuer") for cash at price of Rs155/- per equity share ("Issue Price") (including a share premium of Rs145/- per equity share) aggregating to Rs104.63 crores comprising of a fresh issue of 4,500,000 equity shares of Rs10 each at a price of Rs155/- per equity share aggregating to Rs69.75 crores ("Fresh Issue") and an offer for sale of up to 2,250,000 equity shares of Rs10 each at a price of Rs155/- per equity share aggregating to Rs34.88 crores by Clearwater Capital Partners (Cyprus) Limited (The "Selling Shareholder") ("Offer for Sale"). The fresh issue and the offer for sale are together referred to as the "Issue". The issue will constitute 31.09% of the post issue paid up capital of the company.
